Job summary

KPMG LLP is seeking a Manager to join its Mergers & Acquisitions tax practice. The role focuses on advising clients on corporate and partnership tax matters, performing due diligence, and structuring transactions across buy/sell scenarios.

The position requires extensive experience in federal tax and M&A, professional credentials, and the ability to lead engagements and train junior team members.

Qualifications

• Minimum five years of recent experience in federal tax and/or mergers and acquisitions in a public accounting firm, corporate tax department, or law firm.
• Bachelor's degree, J.D., LL.M. in taxation, and/or Master’s in taxation (MST) from an accredited college/university.
• Licensed CPA, EA or JD/LLM, in addition to others on KPMG’s approved credential listing; need to obtain at least one designation within one year of hire.
• Knowledge of a broad range of corporate and partnership tax matters across industries.
• Ability to handle multiple engagements and client service teams; strong modeling, research, and writing skills.

Responsibilities

• Advise clients on a full spectrum of corporate and partnership tax services, including planning, research, and other M&A activities.
• Work in a multidisciplinary team delivering due diligence and tax structuring, and communicate findings to clients.
• Execute on complex partnership transactions including buy-side/sell-side acquisitions, dispositions, mergers, and restructurings.
• Assist with going public transactions such as IPOs and de-SPACs and Up-C structures.
• Aid with review/remediation of deficiencies in historical partnership allocations and capital accounts.
• Advise on taxes in renewable energy transactions, e.g., tax equity partnerships and tax credit sales.
