Job summary

KPMG LLP is seeking a Manager/Senior Manager to join our Mergers & Acquisitions tax practice in the United States. The role focuses on planning, executing, and delivering M&A tax consulting projects, including section 382 ownership change analyses, E&P studies, and group restructurings.

The incumbent will advise on federal income tax consequences of transactions, conduct research and writing of technical memos, and contribute to best practices and go-to-market strategies.

Qualifications

  • Minimum five years of recent federal corporate tax and consolidated return experience in a Big 4 firm
  • Bachelor's degree from an accredited college/university
  • Licensed CPA, EA or JD/LLM; must obtain one of the approved designations within one year of hire
  • Deep knowledge of subchapter C, bankruptcy and insolvency taxation, and consolidated return regulations
  • Demonstrated leadership ability and capacity to manage multiple engagements and client service teams
  • Excellent computational analysis and research and writing skills

Responsibilities

  • Lead engagement teams in planning, execution, and delivery of designated M&A tax projects
  • Advise on federal income tax consequences of corporate and shareholder transactions
  • Research and analyze corporate tax issues for memoranda, tax opinions, and private letter ruling requests
  • Collaborate on development and implementation of best practices and tools
  • Train and develop staff, senior and manager-level members on tax laws, engagement processes, and risk management
  • Team with M&A Tax leadership on go-to-market strategy to achieve growth goals
  • Senior Manager: identify marketplace opportunities and grow the Tax practice
  • Senior Manager: manage a portfolio of clients and act as first contact for clients
