Adams & Martin Group is seeking a Business & Corporate Law Associate in Clayton, Missouri to join a sophisticated transactional team. You will handle defined portions of M&A and commercial real estate deals, draft core documents, and advise on governance and risk while developing client relationships.

Qualifikationen

• 3+ years of corporate transactional and/or commercial real estate experience.
• Experience supporting corporate transactions and due diligence.
• Missouri licensure or eligibility for admission.

Aufgaben

• Manage defined portions of M&A and commercial real estate transactions with supervision.
• Draft and negotiate core transaction documents (purchase agreements, operating agreements, shareholder agreements, LOIs, NDAs, financing documents).
• Advise clients on corporate governance and risk management.
• Serve as a secondary client contact while developing direct client relationships.
• Coordinate with lenders, accountants, business advisors, and opposing counsel.
• Collaborate with senior attorneys and continue developing technical and business skills.
