Job summary

VDS Consulting Group seeks a Financial Due Diligence Consultant to lead quality-of-earnings analyses for target companies in West Palm Beach, on-site. Build EBITDA normalizations, identify add-backs, and tie results to deal economics.

This role supports buy- and sell-side diligence, stress-tests projections, and prepares cash flow insights to inform purchase agreements and financing packages; an interim CFO-like path may apply through the Operating Partner track.

Qualifications

• 7+ years in transaction services, audit, or corporate finance; 3+ years of buy-side or sell-side diligence.
• CPA or CA strongly preferred; CFA or MBA a plus.
• Expert Excel and financial modeling; experience with data rooms and analytics tools.
• Knowledge of US GAAP; IFRS a plus for cross-border deals.
• Industrial, manufacturing, or PE portfolio company background preferred.

Responsibilities

• Build quality-of-earnings analyses: normalize EBITDA and quantify add-backs and one-time items.
• Examine historical earnings, cash conversion, and net working capital trends; propose a working capital peg.
• Identify debt and debt-like items, off-balance-sheet obligations, and contingent liabilities.
• Verify reporting accuracy: revenue recognition, cut-off, reserves, and accounting policies.
• Tie financial results to operating drivers such as yield, throughput, pricing, and inventory.
• Stress-test management projections with scenario and sensitivity analysis.
• Feed findings into the purchase agreement, valuation model, and lender package.
• After close, set up the 13-week cash forecast, KPI reporting, and finance integration.
