Job summary

Overview

• Lead and assist complex public and private mergers and acquisitions transactions, including cross-border transactions involving international counterparties.
• Represent private equity and other investors in complex public and private M&A transactions.
• Coordinate the due diligence process for corporate transactions, including reviewing and analyzing corporate governance documents, regulatory filings, and material commercial agreements to identify legal risks and provide actionable recommendations.
• Draft, review, and negotiate a broad range of transaction documents, including purchase agreements, contribution agreements, disclosure schedules, ancillary agreements, and related corporate documentation.
• Provide legal advice and strategic guidance on transaction structuring, risk allocation, and regulatory considerations throughout the deal lifecycle.
• Collaborate with cross-functional teams, including finance, legal, tax, and operations, as well as external counsel and counterparties, to facilitate efficient execution of corporate transactions.
• Coordinate and manage data rooms and diligence workflows, including organizing, reviewing, and synthesizing large volumes of documentation.
