Job summary

Baker Donelson is seeking a skilled attorney to advise clients in mergers and acquisitions, draft and negotiate commercial agreements, and guide corporate governance and entity management. The role emphasizes due diligence, transaction documents, disclosure schedules, and coordinating signing and closing activities.

The candidate will work on buy-side and sell-side transactions and draft/negotiate master services, consulting, independent contractor, NDAs, and vendor agreements while assisting

Qualifications

• Experience supporting both buy-side and sell-side M&A transactions.
• Familiarity with drafting, reviewing, and negotiating corporate and commercial agreements.
• Strong drafting and negotiation skills for master services, consulting, independent contractor, NDAs, and vendor agreements.
• Experience with entity formation and governance documents is a plus.

Responsibilities

• Represent clients in mergers and acquisitions, drafting and negotiating commercial agreements, and advising on governance and entity management.
• Due diligence, drafting transaction documents, preparing disclosure schedules and ancillary agreements, and coordinating signing and closing.
• Support M&A on buy-side and sell-side transactions.
• Draft, review, and negotiate master services agreements, consulting agreements, independent contractor agreements, NDAs, and vendor agreements.
• Assist clients with entity formation and maintenance, including operating agreements, shareholder agreements, bylaws, consents, resolutions, amendments.

• Preference is for experience supporting both buy-side and sell-side M&A transactions.
• Work on commercial agreements encompasses drafting, reviewing, and negotiating master services agreements, consulting agreements, independent contractor agreements, nondisclosure agreements, and vendor agreements.
• Assisting clients with entity formation and maintenance involves preparing and reviewing corporate governance documents, such as operating agreements, shareholder agreements, bylaws, consents, resolutions, amendments, and related organizational documents.
