You will lead due diligence, document review, and transaction management, draft and negotiate equity and asset purchase agreements, operating and shareholders agreements, and advise on structuring, regulatory considerations, governance, and complex

• Advise on transaction structuring by analyzing tax implications and regulatory considerations.
• Draft and negotiate a broad array of transactional documents, including equity agreements, stock and asset purchase agreements, operating agreements, subscription agreements, shareholders agreements, term sheets, board resolutions, and other ancillary transaction documents.
• Provide legal advice on corporate governance and corporate regulatory compliance matters arising from mergers and acquisitions and complex reorganizations.
