Job description

Merge is a fast-growing M&A advisory firm specializing in small business transactions, guiding founders through the complexities of selling their companies. We partner with business owners to maximize value, streamline the deal process, and execute successful exits.

We are looking for a highly motivated M&A Manager to join our team. This role is ideal for someone who thrives in a fast-paced, deal-driven environment and enjoys working directly with founders and buyers. The ideal candidate will have a blend of financial acumen, negotiation skills, and relationship management expertise to ensure smooth and successful transactions.

What You’ll Do:

  1. Perform company valuations using financial modeling, comparable transactions, and industry benchmarks.
  2. Analyze financial statements, key performance indicators (KPIs), and business metrics to assess transaction viability.
  3. Support deal structuring and pricing strategies to optimize outcomes for founders.
  4. Lead the financial and operational due diligence process, working closely with buyers and sellers.
  5. Identify potential risks, deal-breakers, and strategic opportunities in transactions.
  6. Prepare investment memos, due diligence reports, and market analysis to support negotiations.
  7. Coordinate with legal, tax, and accounting teams where needed.

Deal Structuring & Negotiation:

  1. Negotiate key deal terms on behalf of founders, including purchase price allocation, earnouts, seller financing, working capital adjustments, and non-compete clauses.
  2. Work closely with buyers and investors to bridge valuation gaps and structure win-win transaction terms.
  3. Assist in reviewing LOIs (Letters of Intent) and Purchase Agreements, ensuring they align with the seller’s interests.
  4. Provide strategic advice to founders on deal terms, helping them understand trade-offs and risk mitigation strategies.

Founder Relationship Management:

  1. Serve as the primary point of contact for founders throughout the exit process.
  2. Provide guidance, strategic insights, and ongoing support to help sellers navigate the M&A process.
  3. Work closely with buyers to align expectations and facilitate a seamless transaction.
  4. Act as an advocate for founders, ensuring their interests are represented in negotiations.

Who You Are:

  1. 3-5 years of experience in M&A, investment banking, private equity, transaction advisory, or corporate finance.
  2. Strong financial modeling and valuation expertise (DCF, precedent transactions, public comps).
  3. Experience conducting due diligence and negotiating deal terms.
  4. Strong understanding of purchase agreements, earnouts, and transaction structuring.
  5. Exceptional communication and relationship management skills—comfortable working with founders, investors, and buyers.
  6. Ability to manage multiple deals simultaneously in a fast-paced, deadline-driven environment.
  7. Detail-oriented and strategically minded, with a passion for helping small business owners exit successfully.
  8. Bachelor’s degree in Finance, Accounting, Economics, or a related field. MBA or CFA a plus.
