Job summary

The Lynch Law Group in Pennsylvania seeks a transactional attorney to advise clients on formation, governance, and corporate matters. You will draft and review operating agreements, bylaws, shareholder agreements, and resolutions, and support mergers and acquisitions, due diligence, and closings.

The role requires 2 years in a transactional role, strong writing skills, and PA licensure with a J.D. from an ABA-accredited school. Collaboration with attorneys, paralegals, and staff is essential.

Qualifications

• 2 years’ experience in a similar transactional role.
• Strong academic and employment credentials.
• Ability to communicate clearly—oral and written; advanced research and writing skills.
• Ability to work independently and in a team with collaboration with attorneys, paralegals, and staff.
• Proficient in Word, Excel and Outlook.
• Proficient with LexisNexis.
• Licensed in PA and a J.D. from an accredited law school.

Responsibilities

• Advise clients on business formation, structuring, and governance matters.
• Draft and review operating agreements, bylaws, shareholder agreements, and resolutions.
• Support mergers and acquisitions, asset purchases, and other transactional matters, including due diligence and closing documentation.
• Conduct legal research and prepare memoranda on corporate and business law issues.
• Assist with contract drafting, review, and negotiation across industries.
• Participate in client meetings under supervision of senior attorneys.
• Maintain accurate and timely billing entries in accordance with firm policies.
• Collaborate with attorneys across practice areas to support client needs.
• Interface with clients and opposing counsel professionally.
• Build relationships with existing clients, including involvement in networking and business development activities.
• Work within a team and support peer associates.
