CyberCoders in Pittsburgh seeks a Corporate Attorney with strong M&A experience to join our Business Services practice. You will work on sophisticated M&A and corporate transactional matters for middle-market clients, private equity sponsors, and strategic buyers/sellers, taking meaningful ownership of deals.

The role involves collaboration with partners across our national and global platform, handling due diligence, drafting, and closing deliverables while advising on governance and regulatory

Qualifications

• J.D. from ABA-accredited law school.
• Active Pennsylvania Bar in good standing (or eligible and willing to waive in).
• Minimum 2 years of corporate transactional experience with emphasis on M&A.
• Excellent drafting, negotiation, analytical and communication skills.
• Ability to work independently and as part of a team in a client‑focused environment.
• Strong organizational skills and ability to manage competing priorities.

Responsibilities

• Lead and support all phases of M&A transactions, including due diligence, drafting and negotiating purchase agreements and closing deliverables.
• Handle general corporate matters such as entity formation, governance, contracts, equity arrangements and regulatory compliance.
• Manage multiple transactions and priorities in a fast-paced environment and deliver high-quality work under tight deadlines.
• Collaborate with partners and other attorneys to provide seamless client service.
• Participate in client relationship management and business development activities.

Position Overview

We are seeking a Corporate Attorney with strong Mergers & Acquisitions experience to join our Business Services practice. This role offers the opportunity to work on sophisticated M&A and corporate transactional matters for a diverse client base that includes middle-market companies, private equity sponsors, and strategic buyers and sellers. The Pittsburgh office has a robust private equity and strategic M&A practice and is looking for an attorney who can take meaningful ownership of deals while collaborating with partners and colleagues across our national and global platform.

Key Responsibilities

• Lead and support all phases of M&A transactions, including due diligence, drafting and negotiating purchase agreements, ancillary documents, and closing deliverables
• Handle general corporate matters such as entity formation and governance, commercial contracts, equity arrangements, and regulatory compliance
• Manage multiple transactions and priorities in a fast-paced environment while delivering high-quality work product under tight deadlines
• Work closely with partners and other attorneys to provide seamless client service
• Participate in client relationship management and business development activities
