A premier AmLaw firm seeks a mid-level Associate Attorney to join its Life Sciences Corporate Practice Group in a hybrid, nationwide role with Boston as a key location. The candidate should have 2–4 years of corporate/transactional experience, a JD from a top-tier school, and an active bar in the relevant jurisdiction.

Life sciences deal experience is preferred, with AmLaw background required. The role involves advising on equity financings, IPOs, M&A, governance, and SEC matters, coordinating

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain promptly.
• 2–4 years of substantive corporate and transactional experience, including public company work, registered equity offerings, SEC reporting, and M&A.
• Experience advising life sciences companies is preferred; life sciences interest considered.
• Prior AmLaw firm experience required.
• Ability to manage significant components of complex transactions independently while collaborating with deal teams.
• Strong drafting, negotiation, and communication skills; able to handle multiple workstreams in a fast-paced environment.

Responsibilities

• Advise emerging growth and public companies in life sciences and healthcare on equity financings, IPOs, M&A, and governance.
• Manage key components of sophisticated corporate transactions from start to finish with deal-team coordination.
• Provide counsel on SEC compliance, registered equity offerings, and other public company matters.
• Collaborate with colleagues across practice groups to deliver integrated solutions.
