Top-20 AmLaw Firm in the United States seeks an accomplished Associate Attorney for its Life Sciences Corporate Practice Group on a hybrid basis. The role involves advising cutting-edge life sciences, healthcare, and technology clients on equity financings, IPOs, M&A, and governance across the U.S.

and globally. The candidate should have 2–4 years of corporate transactional experience, a JD from a top-tier law school, and active bar admission.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligible for admission.
• 2–4 years of corporate and transactional experience including public company work, registered equity offerings, SEC reporting, and M&A transactions.
• Experience advising life sciences companies is preferred.
• Prior AmLaw firm experience is required.
• Ability to manage significant components of complex transactions independently while collaborating with deal teams.
• Strong drafting, negotiation, and communication skills with the ability to manage multiple workstreams.

Responsibilities

• Advise emerging growth and public companies in life sciences and healthcare on equity financings, IPOs, M&A, and governance.
• Manage key components of sophisticated corporate transactions from start to finish with deal teams and clients.
• Provide counsel on SEC compliance, registered offerings, and other public company matters.
• Collaborate across practice groups to deliver seamless, business-focused solutions.
