Job summary

Prologis Energy Solutions seeks an experienced Director,Transactional Counsel to support renewable energy project development and commercial transactions, focusing on solar origination and PPA structures. You will partner with cross-functional teams and manage real estate and site-control matters from origination through construction.

The role requires a JD, active U.S. bar admission, and 7+ years of renewable energy transactions experience, with strong negotiation of solar contracts and EPCs.

Qualifications

• JD from an accredited law school and active membership in at least one U.S. jurisdiction.
• Seven+ years of relevant legal experience with renewable energy project development or commercial energy transactions.
• Experience drafting and negotiating solar PPAs or comparable distributed-energy agreements.
• Experience drafting and negotiating EPC contracts.
• Experience with renewable energy site control and real estate agreements (leases, licenses, easements).
• Knowledge of title, survey, zoning, land use, permitting, and interconnection in renewables.

Responsibilities

• Serve as primary legal partner to the Solar origination team; advise on transaction structure and risk allocation.
• Draft, review, and negotiate power purchase agreements, equipment leases, and related agreements for solar projects.
• Advise on evaluation and structuring of new solar opportunities; identify issues affecting economics, schedule, financing, or operations.
• Lead site-control support across utility-scale Solar and BESS projects; manage land-use counsel as needed.
• Coordinate with internal teams to align site-control and entitlement strategies with project structure.
• Review and negotiate EPC agreements; advise on contract interpretation during construction, changes, delays, and assessments.
• Develop and maintain scalable forms, clause libraries, playbooks, and approval frameworks for recurring transactions.
