Job summary

Prologis is seeking a Director Transactional Counsel (Energy Solutions) to act as the primary legal partner for Solar origination and development teams. You will handle power purchase agreements, leases, and related agreements, coordinating with regulatory and business stakeholders through project origination to construction.

The role requires a JD, active U.S. bar admission, and at least seven years of renewable energy transaction experience, including EPC contracts and site control matters.

Qualifications

• JD from an accredited law school.
• Active bar membership in at least one U.S. jurisdiction.
• Seven+ years of legal experience in energy project development or commercial energy transactions.
• Experience drafting solar PPAs or comparable distributed-energy agreements.
• Experience drafting EPC contracts and structuring site control/real estate agreements.

Responsibilities

• Serve as the primary legal partner to the Solar origination team, advising on transaction structure and risk allocation.
• Draft, review, and negotiate PPAs, leases, and related agreements for solar projects in coordination with stakeholders.
• Advise on evaluation and structuring of new solar opportunities and project economics impacts.
• Lead legal support for site control across utility-scale Solar and BESS projects and manage real estate counsel as needed.
• Coordinate with internal teams to align site-control with broader project structure.
• Review and negotiate EPC agreements and advise on construction contract interpretations and changes.
• Develop and maintain scalable forms, clause libraries, and playbooks for recurring transactions.
