Job summary

Penguin Solutions, the AI Factory Platform Company, is seeking a Director and Commercial Counsel to lead the company's commercial legal function for AI infrastructure, memory, and computing businesses. You will own end-to-end complex transactions, negotiate with enterprise customers and vendors, and shape contracting playbooks while collaborating with sales, operations, and product teams.

Qualifications

• Juris Doctorate from an accredited law school.
• Active bar membership in good standing.
• 12+ years of relevant legal experience in commercial contracting.
• Experience supporting technology, hardware, infrastructure, or supply chain businesses.
• Excellent communication with legal and non-legal stakeholders.
• Ability to work remotely in a fast-paced, cross-functional environment.

Responsibilities

• Own large, complex commercial transactions end-to-end.
• Lead drafting, review, and negotiation of commercial agreements.
• Advise on AI infrastructure deployments and hardware contracts.
• Partner with sales, product, operations to align contracts with business needs.
• Develop contract templates and scalable processes.
• Manage risk and regulatory/compliance issues.
