Job summary

Penguin Solutions seeks a Director and Commercial Counsel for AI Infrastructure to lead the company’s commercial legal function on large, global transactions. You will negotiate complex enterprise deals, structure agreements, and drive standardization across procurement and supply chain with a high degree of autonomy.

The role partners with sales, product, operations, and finance to enable growth in AI infrastructure markets. Hybrid US-based with remote options and competitive compensation.

Qualifications

• JD from an accredited law school.
• Active bar membership in good standing.
• 12+ years of relevant legal experience with substantial commercial contracting expertise.
• Experience independently negotiating complex customer and vendor agreements.
• Experience supporting technology, hardware, infrastructure, or supply chain-driven businesses.
• Excellent communication skills with both legal and non-legal stakeholders.
• Comfortable working remotely in a fast-paced, cross-functional environment.

Responsibilities

• Own large, complex commercial transactions end-to-end.
• Lead drafting, review, and negotiation of commercial agreements including enterprise customer, vendor, and procurement agreements; supply chain, manufacturing, logistics, and distribution arrangements.
• Provide clear, actionable guidance on contract structure, risk allocation, and negotiation strategy.
• Partner with operations and supply chain to align contracts with deployment and scaling requirements.
• Develop contract templates and playbooks; scalable processes; training for business teams.
• Identify recurring risk patterns and drive standardization in contracting approaches.
