Qualifications

• JD degree from an accredited law school.
• Bar admission to the state bar.
• Experience drafting and negotiating corporate documents including operating and stock purchase agreements.
• Experience conducting due diligence in M&A transactions and identifying risks.

Responsibilities

• Assist in drafting, reviewing, and negotiating a wide range of corporate documents including operating agreements, stock purchase agreements, merger agreements, and other related documents.
• Conduct due diligence in M&A transactions, identifying potential legal risks and devising mitigation strategies.
• Provide legal advice on corporate governance, compliance issues, and business strategies.
• Collaborate with cross-functional teams to ensure all legal and regulatory requirements are met during transactions.
• Develop and maintain relationships with clients, providing timely and insightful legal advice.
• Stay informed about legislative changes affecting the company and clients.
• Support improvement of standard form agreements and legal processes.
