Job summary

Eugenus, Inc. is seeking a Senior Legal Counsel, Corporate & Securities to lead IPO readiness and later governance for a U.S. public company.

You will partner with executive management, external counsel, auditors, and investment banks to coordinate SEC filings and corporate-securities matters. Responsibilities include guiding board governance, equity compensation, cross-border transactions, and strategic initiatives, with a path from private company to public company and ongoing governance after

Qualifications

• J.D. from an accredited U.S. law school and active bar membership.
• 8+ years of relevant legal experience in corporate/securities.
• Experience with IPO readiness, SEC filings, and governance for a public company.

Responsibilities

• Support IPO readiness and the Form S-1 process with external counsel and management.
• Coordinate governance documents, board resolutions, and committee processes.
• Provide advice on equity compensation, cap table matters, and corporate transactions.
• Manage cross-functional workflows across Legal, Finance, Accounting, Tax, HR.
