Job summary

Kikoff is seeking an experienced securities and corporate counsel to lead public-company readiness and governance as we scale toward an IPO. You will own equity and debt financings, capital markets activities, and M&A, partnering with the CFO, Finance, and board to build the systems and discipline a public company requires.

Qualifications

• Active bar membership in good standing in a U.S. state; CA eligibility to register as in-house counsel.
• 8–15 years of post-J.D. securities and capital markets experience at a leading firm or in-house.
• Fluency with Securities Act and Exchange Act frameworks governing private financings and public reporting.
• Hands-on with SEC reporting and disclosure for a public company; governance familiarity.

Responsibilities

• Public-company readiness: governance and disclosure infrastructure, 16(b) framework, and 10b5-1 program.
• IPO execution support: drafting, diligence, and listing coordination.
• Lead on equity and debt financings and related facilities and instruments.
• Oversee M&A, structure, diligence, LOIs, and post-closing integration.
• Governance: board mechanics, charters, delegations, and related-party reviews.
• Equity compensation and 409A valuations alongside Finance & People.
• SEC reporting: annual and quarterly filings and proxy materials.
