Overview

• Assist partner and senior associate attorneys with legal research and the drafting of various legal documents, including contracts, memos, applications, petitions, letters, supporting evidence, and forms for briefs and petitions.


• Prepare reports for client company executives on the potential legal ramifications of proposed organizational policies and procedures and research legal solutions for client issues.


• Advise clients on a variety of corporate and finance law matters, including drafting and/or negotiating corporate contracts, managing transactions, and performing legal due diligence.


• Ensure compliance with local, state, and federal laws relating to corporate matters and interpret business challenges to recommend best practices for process and service improvement, including refining internal policies.


• Lead projects with moderate resource requirements, risk, and/or complexity.


• Assist partners with client relationship management and actively participate in business development activities.


• Requires completion of graduate coursework in securities regulation, corporations, secured transactions, employment law, and federal income taxation.
