Job summary

Major, Lindsey & Africa’s Interim Legal Talent group seeks an Interim Commercial Counsel for a long-term assignment focused on negotiating and drafting commercial agreements for a fin-tech client.

The role requires 5+ years in commercial contracts, SaaS experience, and a US bar admission. Initially remote until the Burlington, MA offices are complete (Spring ’27), then four days on-site per week.

Qualifications

• Five or more years of commercial contracts experience, including SaaS.
• Law degree from a respected national law school; admission to at least one US state bar.
• Willingness to work on-site once Burlington office construction is complete.
• Experience negotiating enterprise-level agreements.

Responsibilities

• Review, negotiate, and draft enterprise-level commercial agreements including SaaS contracts, MSAs, SOWs, DPAs, and amendments.
• Serve as the point of contact for sales and business development teams.
• Advise on legal, regulatory, and economic risks in enterprise agreements.

Job description

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Commercial Counsel for a long-term assignment.

Overview: Our client seeks a skilled transactional attorney to negotiate a variety of commercial agreements.

Company: Our client is a fin-tech organization focused on corporate spend-management.

Experience: Five or more years’ experience acquired in a top law firm and/or corporate environment focused on commercial agreements.

Location: The candidate may work remotely until the client’s Burlington, Massachusetts offices are complete (expected Spring ’27). Once the Burlington offices are complete, four days on site per week will be required.

Responsibilities Include:

• Review, negotiate, and draft myriad commercial agreements including large enterprise software as a service (SaaS) agreements, master service agreements (MSAs), order forms, statements of work (SOWs), data processing agreements (DPAs), and amendments.
• Serve as the point of contact for the sales and business development teams.
• Advise client of any potential legal, regulatory, and/or economic risks arising in enterprise level agreements.

Qualifications Include:

• Excellent academic and professional credentials including a law degree from a well-respected, national law school.
• Admission to at least one state bar, active and in good standing.
• Five or more years of commercial contracts experience, especially SaaS acquired in a respected law firm and/or in-house environment.
• Experience negotiating enterprise level agreements.
• Willingness to work on-site once the client’s office construction is complete.

Pay rate: $85
