Job summary

ARC Group is seeking an experienced In-House Corporate Counsel to support a leading retirement and financial services organization. This attorney will focus on ERISA and employee benefits compliance, and provide guidance on corporate contracts, securities regulation, and investment-related matters.

The role is remote within the United States with preference for candidates who can support Eastern Time business hours. Occasional in-office collaboration near Boca Raton, FL may be available.

Qualifications

• J.D. from an accredited law school.
• Active license to practice law in at least one U.S. state.
• 5+ years of post-qualification legal experience.
• Experience with ERISA/employee benefits, corporate contracts, or related functions.
• Strong knowledge of ERISA, SEC, DOL, and IRS requirements.
• Excellent drafting, negotiation, analytical and communication skills.
• Ability to provide practical, business-oriented advice in a fast-paced environment.

Responsibilities

• Act as primary legal resource for ERISA-related matters, fiduciary duties and plan governance.
• Provide guidance on administration of 401(k) and retirement plan platforms.
• Monitor regulatory developments and support DOL/IRS inquiries, audits, and compliance matters.
• Advise internal stakeholders on employee benefits regulations.
• Draft, review, negotiate, and manage corporate agreements and vendor contracts.
• Support SEC filings and ongoing securities compliance.
• Assist with investments, regulatory requirements, and investment activities.
• Advise on incentive compensation programs and related agreements.
• Respond to demand letters and other corporate matters.
