A top-tier corporate practice is seeking a Special Counsel with 8+ years of transactional experience (5+ years focused on M&A/private equity) to join its New York office. This role offers significant client responsibility and the opportunity to lead complex matters, including acquisitions, dispositions, joint ventures, minority investments, and other strategic transactions.

Key Responsibilities

• Manage deals independently from term sheet to close, drafting and negotiating core transaction documents
• Advise corporate clients and private equity sponsors on complex transactions
• Collaborate with partners and specialists as needed for complex matters
• Contribute to business development and client relationship management

Who You Are

• 8+ years transactional experience with a focus on M&A and private equity
• JD from an ABA-accredited law school; admitted to the New York Bar
• Strong academic credentials and superior written/oral communication skills
• Entrepreneurial mindset and client-service orientation
• Prior experience at an Am Law 50 firm preferred

Compensation & Benefits

• Salary: $415,000–$435,000 (DOE)
