Job summary

Bioworld Merchandising is seeking an Associate Corporate Counsel to provide practical, business-focused legal support across licensing, commercial, intellectual property, corporate, employment, insurance, compliance, and dispute-resolution matters.

This attorney will draft and negotiate agreements, advise business teams, coordinate with outside counsel, and strengthen legal processes and contract management.

Qualifications

• JD required from an accredited law school.
• Active U.S. state bar and in-house Texas eligibility.
• 2–5 years of relevant legal experience in law firms or corporate settings.
• Experience drafting and negotiating commercial contracts.
• Strong legal research, writing, drafting, negotiation skills.

Responsibilities

• Draft, review, negotiate, and interpret merchandise license agreements, NDAs, vendor/service agreements, leases, and other contracts.
• Advise business functions on contractual obligations and risk.
• Coordinate IP matters, including clearance and portfolio management.
• Manage contract lifecycle from intake through renewal or termination.
• Support corporate governance, entity management, and intercompany matters.
• Coordinate with outside counsel on litigation, regulatory inquiries, and disputes.
• Prepare analyses, risk assessments, and executive updates.
• Oversee outside counsel selection and budgeting.
