Job summary

Bioworld Merchandising, Inc. seeks an Associate Corporate Counsel to provide pragmatic legal support across licensing, IP, corporate matters, employment, and regulatory compliance. You will draft and negotiate licenses, vendor and service agreements, and NDAs while coordinating with outside counsel.

The role requires JD, active bar status in at least one state, and 2–5 years of relevant experience. An in-office Irving, TX presence is expected.

Qualifications

• Active U.S. state bar admission and eligibility to practice in-house in Texas.
• 2–5 years of relevant legal experience in law firm or corporate department.
• Strong drafting, negotiation, and risk assessment of commercial contracts.

Responsibilities

• Draft, review, and negotiate merchandise licenses, NDAs, vendor and service agreements, leases, and other contracts.
• Advise business teams on obligations, risks, and alternatives across licensing, finance, HR, sales, and leadership.
• Manage contract lifecycle from intake to renewal and termination, coordinating with outside counsel.
