Job summary

Compu Dynamics is seeking a Corporate Counsel to own day-to-day contract review, redlining, and negotiation. This role builds the contract system, categorizes legacy agreements, and manages outside counsel, reporting to the COO.

You will serve as the primary legal advisor, supporting insurance, HR matters, and risk decisions while maintaining rapid turnaround for high-volume agreements in a fast-paced data center environment.

Qualifications

• JD from ABA-accredited law school.
• Active bar license in good standing, Virginia-qualified or eligible to register as corporate counsel in Virginia.
• 2–7 years of commercial contracts experience, mix of law firm and in-house preferred.
• Strong experience drafting and negotiating MSAs, subcontracts, NDAs, and customer agreements.
• Knowledge of IP and trade-secret protection in commercial agreements.
• Ability to turn around high volumes quickly while assessing risk.
• Clear communicator who explains risk to executives.

Responsibilities

• Review, redline, and negotiate NDAs, MSAs, subcontractor, staffing, and vendor agreements, typically within hours or same day when needed.
• Negotiate with counterparties and counsel, prepare final agreements for executive signature.
• Develop and maintain templates, fallback positions, and a contract playbook for speed and consistency.
• Use AI-assisted tools for first-pass review, applying independent judgment before redlines.
• Manage contract intake, workflow, and outside counsel relationships.
