Job summary

EisnerAmper is seeking an Associate Attorney to join our in-house legal team and report to the Legal Directors. You will review and negotiate client engagement letters, NDAs, and various commercial contracts while supporting the Firm’s directors. The role emphasizes risk identification, template maintenance, and workflow optimization.

Required is a J.D. with bar admission and 3+ years of post-law school contract experience; familiarity with MSAs, BAAs, subcontractor agreements, and government

Qualifications

• J.D. degree with current bar admission.
• 3+ years of post-law school experience in contract drafting, review and negotiation.
• Independently review, respond to and negotiate commercial agreements including MSAs, BAAs, subcontractor agreements and government contracts.

Responsibilities

• Review and negotiate client engagement letters based on the Firm's templates; identify professional services risk issues and advise on positions and fallback language.
• Draft, review and negotiate NDAs, confidentiality and third-party access agreements.
• Respond to RFPs by reviewing legal and contractual requirements, completing the legal sections and coordinating with business teams.
• Manage and organize the legal department's Smartsheet intake process, triaging, assigning and tracking requests.
• Review and negotiate MSAs, BAAs, subcontractor agreements, government contracts and other commercial contracts, identifying risks and recommending revisions.
• Provide legal support to the Firm's directors on contract- and engagement-related matters, escalating complex issues.
• Assist with maintaining and improving contract templates, playbooks and process documentation.
• Implement and understand AI tools and platforms to increase efficiencies.
