• Five+ years of paralegal experience in corporate or transactional work.
• Bachelor’s degree and/or Paralegal Certificate required.
• Experience supporting M&A transactions and corporate governance preferred.
• Strong understanding of corporate structures, filings, and documentation.
• Excellent organizational skills and ability to manage multiple transactions.
• Strong attention to detail and ability to work in a fast-paced environment.
• Effective communication with attorneys, clients, and internal teams.
• Proficiency in Microsoft Office and relevant software.

Responsibilities

• Assist attorneys with mergers and acquisitions tasks including due diligence, document organization, and closing preparation.
• Conduct and manage due diligence reviews, tracking and summarizing key findings.
• Prepare and organize closing checklists, signature pages, and transaction binders.
• Draft and revise corporate documents including resolutions and formation documents.
• Maintain and update corporate records and entity management databases.
• Coordinate filings with state agencies related to formation, registration, and compliance.
• Manage large volumes of transactional documents and organize deal files.
• Communicate with clients, attorneys, and third parties to facilitate transaction execution.
• Support attorneys with legal research and other transactional matters as needed.
• Track timelines and deliverables to ensure timely completion.
