Job summary

gpac is seeking a Corporate / M&A Attorney with at least two years of experience in corporate law, mergers and acquisitions, and securities, to join its transactional practice. You will draft, review, and negotiate purchase agreements, conduct due diligence, and advise clients through all phases of deals.

This is a hybrid role offering meaningful client contact across diverse industries, the opportunity to handle sophisticated transactions, and a collaborative, entrepreneurial work environment.

Qualifications

• JD from an accredited law school and active bar license.
• Minimum two years in corporate law, M&A, or securities.
• Strong drafting and negotiation capabilities.
• Ability to manage client relationships and transactions independently.

Responsibilities

• Draft, review, and negotiate a variety of transaction documents including purchase agreements and investment documents.
• Conduct due diligence and support buyers and sellers through all M&A phases.
• Advise clients on corporate governance and business operations.
• Assist with private securities offerings and ensure compliance with securities laws.
• Collaborate with clients, boards, opposing counsel, and stakeholders to facilitate transactions.
• Manage multiple matters in a fast-paced environment.
