gpac seeks an experienced Corporate Associate Attorney in Chicago to handle sophisticated M&A and securities matters within a broad corporate practice. The role involves drafting, negotiating, and advising on complex transactions, with leadership over junior attorneys and paralegals.

The position requires 5+ years of corporate transactional experience, a J.D. from an accredited law school, and strong drafting, negotiation, and governance knowledge.

Qualifications

• 5+ years of corporate transactional experience within a law firm.
• J.D. from an accredited law school.
• Strong M&A experience, with securities and/or lending experience highly valued.
• Knowledge of corporate governance and applicable securities regulations.
• Strong drafting, negotiation, analytical, and organizational skills.
• Ability to independently manage sophisticated transactional matters.
• Comfortable working collaboratively in a fast-paced corporate practice.
• Appropriate bar admission required.

Responsibilities

• Handle mergers and acquisitions and private securities offerings.
• Draft and negotiate purchase agreements, shareholder agreements, confidentiality agreements, and other transactional documents.
• Perform transactional due diligence and deal execution.
• Advise clients throughout the lifecycle of corporate transactions.
• Coordinate with junior attorneys and paralegals.
• Assist with lending transactions and governance matters.
• Ensure compliance with applicable securities regulations.
