Job summary

LHH is partnering with a Chambers-ranked Philadelphia law firm to hire a Mid-Level General Corporate Associate to join its established corporate and business practice. The role focuses on sophisticated transactional matters and provides substantial mentorship and client exposure.

The candidate will work on M&A, asset sales, and corporate governance matters for privately held businesses, entrepreneurs, investors, and middle-market companies in a hybrid Philadelphia setting.

Qualifications

• Approximately 3-6 years of experience in M&A, general corporate, or commercial transactions.
• Strong drafting and negotiation skills.
• Ability to manage multiple deals and deadlines simultaneously.
• Pennsylvania admission or ability to waive in.
• Generous base salary based on experience.

Responsibilities

• Draft, review, and negotiate transaction documents.
• Handle mergers and acquisitions, asset sales, and equity transactions.
• Conduct due diligence and prepare disclosure schedules.
• Manage transaction closings and post-closing matters.
• Advise clients on corporate governance and day-to-day business operations.
• Draft operating agreements, shareholder agreements, and other corporate documents.
