Job summary

Confidential Employer in Cincinnati, OH, with hybrid work options, seeks a Corporate Finance Associate Attorney to join our corporate and transactional practice, handling debt financing and lending transactions. The role collaborates with experienced attorneys across corporate, M&A, real estate, and tax teams.

Requires 1+ year of corporate/finance transactional experience and an active Ohio or Michigan license. Opportunities across additional markets in Grand Rapids.

Qualifications

• J.D. from an ABA-accredited law school.
• Active Michigan or Ohio Bar license for the applicable office location.
• 1+ years of corporate, finance, or related transactional experience.
• Experience drafting, reviewing, or negotiating transactional legal documents.
• Strong legal research, drafting, analytical, and organizational skills.
• Excellent communication, attention to detail, and problem-solving abilities.
• Ability to manage multiple matters and work collaboratively with clients and colleagues.
• Commercial lending, debt finance, acquisition financing, or real estate finance experience preferred, but not required.

Responsibilities

• Represent borrowers, lenders, and investors in corporate finance and commercial lending transactions.
• Assist with structuring, negotiating, and documenting debt financing arrangements.
• Draft, review, and negotiate loan agreements, credit agreements, security agreements, and related financing documents.
• Support acquisition financing, real estate financing, private placements, and other corporate transactions.
• Conduct legal due diligence, review transaction documents, and assist with closings.
• Collaborate with corporate, mergers and acquisitions, real estate, and tax attorneys on complex transactions.
• Communicate directly with clients to understand their business objectives and financing needs.
• Identify legal and commercial risks while developing practical, business-focused solutions.
• Take on increasing responsibility as you develop your transactional expertise and client relationships.
