Confidential Employer in Grand Rapids, MI is seeking a Corporate Finance Associate Attorney to join our transactional practice. You will represent borrowers, lenders, and investors in debt financing and commercial lending, and you will help draft, review, and negotiate loan and related financing documents.

This role offers hybrid work with opportunities in Grand Rapids or Cincinnati, mentorship from seasoned attorneys, and meaningful responsibility to develop a sophisticated corporate finance

Qualifications

• J.D. from an ABA-accredited law school.
• Active Michigan or Ohio Bar license for the applicable office location.
• 1+ years of corporate, finance, or related transactional experience.
• Experience drafting, reviewing, or negotiating transactional legal documents.

Responsibilities

• Represent borrowers, lenders, and investors in corporate finance and commercial lending transactions.
• Assist with structuring, negotiating, and documenting debt financing arrangements.
• Draft, review, and negotiate loan agreements, credit agreements, security agreements, and related financing documents.
• Support acquisition financing, real estate financing, private placements, and other corporate transactions.
• Conduct legal due diligence, review transaction documents, and assist with closings.
• Collaborate with corporate, mergers and acquisitions, real estate, and tax attorneys on complex transactions.
• Communicate directly with clients to understand their business objectives and financing needs.
• Identify legal and commercial risks while developing practical, business-focused solutions.
• Take on increasing responsibility as you develop your transactional expertise and client relationships.
