Confidential Employer is seeking a Corporate Finance Associate Attorney in a hybrid role based in Grand Rapids, MI (with opportunities in Cincinnati, OH). The position involves representing borrowers, lenders, and investors in debt financing and commercial lending transactions.

You will assist with structuring and negotiating debt financing, draft and review loan and security agreements, and collaborate with M&A, real estate, and tax attorneys on complex transactions.

Qualifications

• J.D. from ABA-accredited law school is required.
• Active Michigan or Ohio Bar license for the applicable office location.
• 1+ years of corporate, finance, or related transactional experience.
• Experience drafting, reviewing, or negotiating transactional legal documents.
• Strong legal research, drafting, analytical, and organizational skills.
• Excellent communication, attention to detail, and problem-solving abilities.

Responsibilities

• Represent borrowers, lenders, and investors in corporate finance and commercial lending transactions.
• Assist with structuring, negotiating, and documenting debt financing arrangements.
• Draft, review, and negotiate loan agreements, credit agreements, security agreements, and related financing documents.
• Support acquisition financing, real estate financing, private placements, and other corporate transactions.
• Conduct legal due diligence, review transaction documents, and assist with closings.
• Collaborate with corporate, mergers and acquisitions, real estate, and tax attorneys on complex transactions.
• Communicate directly with clients to understand their business objectives and financing needs.
• Identify legal and commercial risks while developing practical, business-focused solutions.
• Take on increasing responsibility as you develop your transactional expertise and client relationships.

Note
