Confidential Employer. is seeking a Corporate Finance Associate Attorney in Cincinnati to join a corporate and transactional team handling debt financing and commercial lending matters.

The role offers hybrid work with opportunities in Cincinnati and Grand Rapids, requires 1+ year of related experience, and an active Ohio or Michigan Bar license. Competitive compensation and mentorship are provided.

Qualifications

• J.D. from an ABA-accredited law school.
• Active Ohio or Michigan Bar license for the applicable office location.
• 1+ years of corporate, finance, or related transactional experience.
• Experience drafting, reviewing, or negotiating transactional legal documents.
• Strong legal research, drafting, analytical, and organizational skills.

Responsibilities

• Represent borrowers, lenders, and investors in corporate finance and commercial lending transactions.
• Assist with structuring, negotiating, and documenting debt financing arrangements.
• Draft, review, and negotiate loan agreements, credit agreements, security agreements, and related documents.
• Support acquisition financing, real estate financing, private placements, and other corporate transactions.
• Conduct legal due diligence, review transaction documents, and assist with closings.
• Collaborate with corporate, M&A, real estate, and tax attorneys on complex transactions.
• Communicate directly with clients to understand business objectives and financing needs.
• Identify legal and commercial risks while developing practical, business-focused solutions.
• Take on increasing responsibility as you develop transactional expertise and client relationships.
