Job summary

Avantus is hiring a Senior Counsel for Transactions in San Diego, a hybrid role supporting development, project finance and M&A activities in a growing clean energy portfolio. You will draft, review, and negotiate critical agreements, collaborate with cross-functional teams, and guide legal strategy across our solar and storage projects.

The role requires a Juris Doctor, bar admission, and 8+ years of relevant experience, with travel as needed.

Qualifications

• Juris Doctor degree from ABA-accredited law school.
• Admitted to applicable state bar.
• Minimum of 8 years of experience in commercial transactions, project finance, or renewables.
• Ability to work with cross-functional teams and manage deadlines.
• Willingness to travel as required.

Responsibilities

• Manage and/or assist with legal support on development projects and supervise outside counsel.
• Provide legal support for project finance and M&A transactions, including JVs and tax equity structures.
• Draft and negotiate asset purchase agreements, project finance documents, and membership interest agreements.
• Draft, review and negotiate PPAs, interconnection agreements, EPC agreements, services agreements, and related contracts.
• Coordinate efforts with development, M&A, finance, real estate, tax, environmental, permitting and regulatory teams.
• Perform due diligence and provide diligence guidance on acquisitions and greenfield development opportunities.
• Provide general legal support across the organization and manage outside counsel.
