Qualifications

• JD, LLM or foreign equivalent degree required.
• 2 years of experience in private equity transactions, venture capital transactions and healthcare M&A.
• Must be admitted to practice law in Florida.
• Experience advising in health care, pharmaceutical, medical device and health insurance industries.
• Experience drafting Asset Purchase Agreements, Stock Purchase Agreements and Management Services Agreements.

Responsibilities

• Represent healthcare and private equity clients in healthcare M&A deals.
• Draft and negotiate Asset Purchase Agreements, Stock Purchase Agreements, and MSAs.
• Conduct extensive due diligence and prepare review charts.
• Lead closings and coordinate with clients and opposing counsels.
• Provide general corporate consultations and governance documents.
