• The role involves sophisticated transactional matters for private equity and other financial sponsor clients, offering exposure to clients in various industries, with a particular emphasis on health care and other heavily regulated sectors.
• The Associate will actively structure, negotiate, and execute complex transactions, maintain meaningful client contact, and collaborate effectively within deal teams.
• Required experience includes working with private equity funds, independent sponsors, portfolio companies, and founder-owned businesses on M&A transactions and day-to-day corporate matters.
• Demonstrated experience is necessary in drafting and negotiating M&A transaction documents and governing documents (e.g., bylaws, operating, and partnership agreements).
• The position entails managing key transaction aspects with increasing independence, coordinating due diligence, and supervising junior attorneys.
• Health care industry experience is welcome but not required.
