Job summary

Greenberg Traurig, LLP seeks a mid-level Corporate Associate (4–6 years) for its Fort Lauderdale, Florida office to handle sophisticated M&A and private equity transactions for domestic and international clients.

You will draft and negotiate core documents, manage due diligence, coordinate with tax and regulatory teams, participate in client meetings, and help close deals, with opportunities to work across industries and leverage GT’s global platform.

Qualifications

• J.D. from an accredited law school.
• Admission to the Florida Bar or willingness to become admitted promptly.
• 4–6 years of substantive M&A, private equity, and general corporate experience at a national or regional law firm.
• Strong drafting, negotiation, and project management skills.
• Ability to work both independently and as part of a team in a high-volume practice.
• Demonstrated ability to thrive in a fast-paced, team-oriented environment.

Responsibilities

• Drafting, reviewing, and negotiating key M&A and private equity transaction documents, including letters of intent, asset purchase agreements, stock purchase agreements, and merger agreements.
• Managing due diligence processes, including reviewing contracts, corporate records, and regulatory materials.
• Coordinating with tax, regulatory, finance, and litigation colleagues on transaction-related issues.
• Participating in client meetings and conference calls, providing strategic input and updates.
• Assisting with closing preparations, including drafting closing deliverables and ensuring post-closing obligations are met.
