Principal Financial Group seeks an experienced Paralegal Analyst for its in‑house legal team focused on corporate governance, secretarial duties, and regulatory matters. This role supports governance processes, maintains records, and coordinates submissions across Principal subsidiaries.

You will assist with board meetings, prepare materials, draft resolutions, and help improve templates and workflows while collaborating with business stakeholders and outside service providers.

Qualifications

• Bachelor's degree or equivalent in a related field and 6+ years of legal or corporate/regulatory experience.
• Experience in corporate secretarial matters with strong governance knowledge including board processes and entity management.
• Proven legal research capabilities.
• Experience leveraging AI, legal tech, automation, and knowledge management tools to improve operations and digital transformation.

Responsabilités

• Support the corporate secretarial team for Principal subsidiaries, maintaining corporate records and minute books; track director appointments; document entity formations and dissolutions; prepare filings and respond to queries.
• Assist with preparation, review and submission of insurance company and corporate regulatory filings as well as internal reporting.
• Attend subsidiary board and committee meetings; prepare, organize, and distribute materials including agendas, resolutions, minutes, and consents.
• Serve as liaison between legal, internal stakeholders, and external service providers for governance actions and filings.
• Draft and maintain corporate resolutions, written consents, secretary certificates, and intercompany agreements; prepare regulatory forms for subsidiaries.
• Manage complex projects with independence; conduct legal research and draft memoranda; assist with process improvements and templates/workflows.
• Provide general paralegal support to lawyers on corporate transactions, securities, privacy, tax, and HR matters.
