FactSet is seeking a Senior Paralegal to support corporate governance and securities functions. You will collaborate with senior counsel on board materials and regulatory calendar planning, ensuring accuracy of corporate records and timely filings.

Ideal candidates have 5+ years in securities law, strong organization, and proficiency with EDGAR, SEC platforms, and board portals. In-house or law firm experience preferred; USA NY location.

Qualifications

• Minimum 5 years of paralegal experience in securities law.
• In-house experience preferred.
• Exceptional organizational skills and attention to detail.
• Bachelor’s degree from an accredited institution.
• Proficiency with EDGAR, SEC filing platforms, and board portals.
• Strong interpersonal skills and teamwork.

Responsibilities

• Support governance and corporate secretarial initiatives and processes.
• Assist senior counsel in preparing board and committee materials.
• Prepare, maintain, and ensure accuracy of corporate books, minutes, and approvals.
• Support Form 10-K, 10-Q, 8-K filings and proxy statements.
• Lead Section 16 reporting and beneficial ownership tracking.
• Maintain insider trading compliance processes and governance certifications.
• Plan and logistics for the annual meeting of shareholders.
• Organize and maintain legal files and databases.
• Identify governance gaps and drive process improvements.
• Provide general administrative support to the Legal team.
