Job summary

Sodali & Co is a leading global capital markets advisory firm seeking a Senior Associate to support the US Corporate Governance Consulting team. You will work with senior members to deliver governance insights, executive compensation updates, and tailored client guidance.

Your role includes developing investor materials, reviewing proxies, and engaging directly with clients to manage engagements and deliverables with precision and care.

Qualifications

• Demonstrated governance and executive compensation knowledge including incentive plans and benchmarking.
• Experience reviewing proxy statements and advising on CD&A disclosures.
• Strong client-facing engagement and project management skills.
• Proficiency with Microsoft 365 tools, especially Excel and PowerPoint.

Responsibilities

• Monitor governance and compensation developments and distill impact for clients.
• Develop investor outreach materials and high-quality engagement decks.
• Review proxy statements and provide recommendations on disclosures and Say on Pay.
• Analyze Say on Pay and voting histories to inform client strategy.
• Support client response to inquiries and proposals; participate in client meetings.
• Collaborate across functions to deliver client deliverables on tight timelines.
