• The practice advises on tax and regulatory issues for compensation arrangements, covering both domestic U.S. and global offerings to employees, consultants, and other service providers.
• Recognized as a world-leading practice, it includes over 40 dedicated practitioners in North America.
• The role involves assisting clients with the design, implementation, and maintenance of global incentive and compensation arrangements, with a particular focus on share-based plans.
• Responsibilities include drafting various legal documents such as correspondence, memoranda, and legal opinions.
• The associate will advise on legal, regulatory, and tax matters pertinent to global compensation arrangements in the context of cross-border M&As, spin-offs, divestitures, IPOs, and redomestications.
• Candidates are expected to remain current on U.S. and non-U.S. securities, tax, currency control, and employment laws affecting such arrangements.
• The firm will also consider candidates with experience in U.S. domestic executive compensation or other incentive arrangements, or those with a strong global tax or global employment law background. Major law firm experience is a plus.
