Job summary

Vistex, a global enterprise software and services company, seeks a Senior Legal Counsel and Assistant Secretary to advise on employment matters, data privacy, regulatory compliance, and risk management. The role focuses on optimizing CLM processes and partnering with cross-functional teams to support scalable, compliant growth across global operations.

Based in Hoffman Estates, IL with hybrid work arrangements, you will lead commercial negotiations, advise executives, and manage outside counsel

Qualifications

Doctorate or JD required and licensed to practice law in Illinois.
10–12 years’ experience as Senior Legal Counsel or similar roles.
In-house or law firm experience required.
Experience advising on employment matters, data privacy, and regulatory compliance.

Responsibilities

Draft, review, and negotiate commercial contracts (professional services, software licensing, NDAs, vendor).
Improve and manage CLM processes and tooling for efficiency & compliance.
Advise on employment, data privacy, and regulatory compliance with HR, IT security, and external counsel.
Contribute to AI-related legal considerations and risk assessment.
Lead cross-functional teams and coordinate with outside counsel as needed.
Provide general legal support to business leaders and global teams.
