Veralto is seeking a Director, M&A to lead the legal execution of mergers, acquisitions, divestitures, joint ventures, and minority investments that drive long-term growth. You will collaborate with Finance, Corporate Development, HR, Tax and other leaders throughout the deal lifecycle, from upfront evaluation to post‑close integration.

As a senior member of the Legal team, you will guide risk management and ensure disciplined execution while mentoring junior attorneys and shaping M&A playbooks

Qualifications

• J.D. degree with bar admission in the US or UK is required.
• Proven ability to lead complex M&A transactions and negotiate deal terms.
• Experience advising senior executives on high-stakes matters.

Responsabilités

• Architect and execute public and/or private M&A transactions globally (acquisitions, divestitures, JVs, minority investments).
• Coordinate cross-functional due diligence and identify legal, regulatory, and operational risks.
• Lead negotiations of LOIs, NDAs, purchase agreements, transition services agreements, and related documents.
• Manage outside counsel to ensure cost-effective, aligned execution.
• Advise Corporate Development and executive leadership on deal strategy, risk allocation, and integration implications.
• Partner with Finance, Tax, HR, Compliance, and segment leaders on structuring and long-term integration impacts.
• Support subsidiary governance, treasury activities, investor communications, ESG and governance matters.
• Drive improvements to M&A playbooks and mentor junior attorneys.
