Job summary

Morgan Stanley is seeking a Documentation professional in New York to support the Documentation Team within MSFS. The role involves drafting and negotiating administration/service agreements with private fund clients, reviewing offering and subscription documents, and coordinating with global internal teams on MSFS technology initiatives.

You will engage directly with clients and external counsel, manage document workflows, and help address legal questions across US, Europe, Australia and Asia,

Qualifications

• JD with corporate law experience and financial services background.
• Experience drafting and negotiating complex contracts for funds or asset managers.
• Strong understanding of AML/regulatory issues and privacy laws.

Responsibilities

• Drafting and negotiating administration/service agreements with private fund clients.
• Reviewing client offering documents, organizational and subscription documents and provide comments to client counsel.
• Implementing MSFS technology initiatives (e.g., Online Forms) and coordinating with internal teams globally.
• Managing document workflows to ensure updates are implemented with high accuracy.
• Direct engagement with clients, in-house and external counsel, investors across US, Europe, Australia and Asia.
• Coordinating review and resolution of legal issues arising from investor services and accounting teams.
