Job summary

Morgan Stanley is seeking a documentation professional to support private fund clients in NY. The role involves drafting and negotiating administration agreements, reviewing subscription and organizational documents, and coordinating with internal teams and external counsel.

You will manage document workflows, address legal questions, and interact with clients and counsel across US, Europe, and Asia, ensuring accuracy and regulatory compliance in a fast-paced environment.

Qualifications

• Experience in a legal role with a law firm, bank, hedge fund administrator, or investment manager
• Experience preparing and presenting trainings on alternative investments and developing team resources
• Ability to speak with clients and stakeholders to manage deliverables under time pressure
• Familiarity with AML regulations for financial institutions and policy drafting
• Knowledge of corporate and fund formation documentation workflows (subscription docs, organizational docs)

Responsibilities

• Drafting and negotiating administration/service agreements with private fund clients
• Reviewing client offering and organizational documents and providing comments to client counsel
• Implementing technology initiatives (e.g., Online Forms) and coordinating with global teams
• Managing document workflows and ensuring updates are accurate and timely
• Engaging with clients and external counsel across regions (US, Europe, Asia)
• Coordinating review of legal issues raised by investor services and accounting teams
