Job summary

The Cigna Group seeks a Counsel, Commercial Transactions to provide enterprise-wide legal support for U.S. and global contracting.

You will draft, review, and negotiate an array of commercial agreements with domestic and international suppliers, partnering with Procurement and business teams to align legal and business objectives. You will advise on risk allocation, contract governance, and ongoing vendor relationships, while developing templates and playbooks to standardize negotiations across

Qualifications

• 5+ years experience negotiating and drafting commercial contracts, including vendor, procurement, technology, consulting and services transactions.
• Experience supporting procurement, sourcing, vendor management, or commercial operations is preferred.
• Strong contract drafting, negotiation, communication, and relationship management skills.
• Ability to identify legal issues, evaluate risk, and provide practical, business-focused legal advice.

Responsibilities

• Draft, review, negotiate, and manage a broad range of commercial agreements with domestic and international suppliers.
• Partner with Procurement and business stakeholders to structure transactions balancing legal and business objectives.
• Advise clients on commercial contracting matters, risk allocation, and contract governance processes.
• Identify and assess legal and contractual risks in third-party engagements and provide recommendations.
• Support vendor dispute resolution efforts and negotiate resolutions aligned with business objectives and risk tolerance.
• Develop, maintain, and enhance contract templates, playbooks, negotiation guidance, and standard contract provisions.
• Collaborate with global legal colleagues on international contracting matters.
• Create and deliver training on contracting and vendor management to procurement and business teams.
• Support strategic corporate initiatives including mergers, acquisitions, financing, and other enterprise projects.
