Job summary

Human Agency seeks a highly skilled General Counsel to design, build, and manage its expanding legal infrastructure across a multi-entity framework. This fully remote, US-based role centers on owning the legal function end-to-end, from strategy to drafting and compliance.

You will spearhead entity architecture, fund formation, M&A, contracts, IP, and AI-enabled operations, collaborating closely with the Founder and CEO. A startup/private equity background and Delaware-law fluency are essential.

Qualifications

• 4–6+ years of substantive corporate and transactional experience.
• Deep fluency in Delaware law with working knowledge of NY, MA, MO law.
• Experience in startup, private equity, or holding company environments.
• Genuine working fluency with AI tools.

Responsibilities

• Design and build the legal infrastructure for multiple entities.
• Lead fund formation and investment work, drafting agreements, ensure securities compliance.
• Oversee acquisitions and roll-ups from diligence through close.
• Draft and negotiate MSAs, vendor agreements, and IP licensing terms.
• Integrate AI tools to accelerate legal workflows and advise on AI product compliance.
