Job summary

Human Agency is seeking a highly skilled General Counsel to lead its legal function across a diverse portfolio of startups, nonprofits, and political entities. This role emphasizes transactional work, corporate structuring, and AI-enabled operations to scale the business.

The role covers fund formation, M&A, IP, governance, and vendor agreements, with direct reporting to the Founder and CEO. Remote within the United States, with occasional travel for closings and key meetings.

Qualifications

• 4–6+ years of corporate and transactional experience.
• Fluency in Delaware law with knowledge of NY/MA/MO law.
• Experience with AI tools and startups, PE, or roll-ups.
• Ability to design and manage a scalable legal infrastructure.

Responsibilities

• Design and maintain a coherent legal structure across entities.
• Lead fund formation, venture agreements and securities compliance.
• Manage M&A activities, due diligence and closings.
• Draft and negotiate MSAs, IP, and licensing terms.
• Oversee governance, compliance, and regulatory matters.
• Implement AI-enabled legal workflows and advisory support.
